Winning BLW GmbH sells its Remscheid and Penzberg sites to the Canadian company Linamar Corporation

Winning BLW GmbH, a leading supplier of complex precision forged components for the automotive and industrial sectors, has sold its production sites in Remscheid and Penzberg to the Canadian company Linamar Corporation as part of its ongoing insolvency proceedings under self-administration. The transaction is the result of an intensive and structured investor process and secures the future of both sites and the workforce employed there.

Winning BLW specialises in the manufacture of high-precision forged components, which are primarily used in car and lorry production as well as in industrial applications. The company has been in insolvency proceedings under its own administration since 6 October 2025 – a consequence of the profound structural changes in the German automotive market, which had led to significant losses in turnover and made filing for insolvency unavoidable. With the sale of the two sites to Linamar Corporation, a global automotive supplier with 86 production sites across 19 countries, a strategic investor was found who aims to significantly expand its capabilities in the field of semi-hot forging through this acquisition.

WAYES acted as exclusive M&A adviser to Winning BLW GmbH on the seller’s side – from the structured approach to investors through to the entire transaction process. In a challenging automotive environment, a viable solution for the sites was achieved in collaboration with all parties involved.

Jan Groß, Robin Bachmayer and Lutz Maschlanka (RSM Ebner Stolz) acted as general representatives of the self-administration, supported by the restructuring team led by Sebastian Müller, also from RSM Ebner Stolz. Dr Jens Schmidt acted as administrator, supported by Robert Fliegner and the team at RUNKEL Rechtsanwälte. The WAYES project team consisted of Falk Schnurbusch, Sebastian Zolondek, Marcel Weist, Anton Lünenbürger, Ramon Frank and Felix Prinzenberg.

A strong result for all involved – and an important signal for the employees at both sites.
