HydroDyn Recycling: Successful takeover by Circular Projects GmbH

A sustainable investor solution has been secured for HydroDyn Recycling GmbH, which has been in insolvency proceedings since January 2026. As part of an asset deal, Circular Projects GmbH is taking over the core business operations, thereby creating a solid foundation for the continuation and further development of the company.
Since its foundation in 2015, HydroDyn has specialised in innovative technologies for the cleaning and processing of plastic waste at its sites in Hamburg and Schwerin. With its patented HydroCleaner technology, the company was able to establish a strong market position in a dynamically growing recycling market. Despite proven technological maturity, liquidity constraints in early 2026 led to the filing for insolvency.
WAYES was appointed as exclusive M&A advisor shortly after the insolvency filing and initiated a structured investor process with an international reach. The broad interest from both domestic and international sources confirmed the technology’s high strategic relevance and significant market potential. On the WAYES side, Hamed Omumi, Marisa Rinke and Ramon Frank managed the process.
In Circular Projects GmbH, a buyer was found who will take over the core operational assets and consistently drive forward the further development of the technology. The original founders will be integrated into the new structure, ensuring the continuity of the technological know-how. Going forward, the focus will be on engineering, system integration, licensing and sales, with the Hamburg and Schwerin offices remaining in place.
The proceedings were supervised by the insolvency administrator, Friederike Kirch-Heim, a solicitor at Reimer Rechtsanwälte Partnerschaft mbB. Legal advice to the seller was provided by Dr Thorsten Herms and Roman Eschke, solicitors at MÖHRLE HAPP LUTHER. The buyer was advised by lawyers Jörg Grau and Johannes Graner of Heublein Grau Rechtsanwälte PartG mbB, as well as lawyer Klaas Stoke-Borchert of DELFS & PARTNER mbB
WAYES supported the entire transaction process and made a significant contribution to the successful implementation of this solution for all parties involved.
